6. How should we calculate the cost of exclusivity?

Suggested respondent: Lemley for competition and legal framing; an owner CFO for modelling. The agenda asks for a method, not a prediction of revenue.

Ask: “Which restrictions would you model separately when a representative offers a minimum guarantee in exchange for exclusivity?”

A strong answer should cover: uses, territories, channels, affiliates, pre-existing customers, duration and release conditions. Include alternatives forgone, fees on renewals, collection timing and downside exposure if the partner underperforms. Ask whether claimed competitive effects are evidenced or hypothetical.

Worked example request: compare two invented term sheets with identical gross receipts but different scope, clearly labelled as an illustration.
